Terms and Conditions

[Article 1] Purpose

These Terms and Conditions outline the rights, obligations, and responsibilities of EMBM Services OPC (hereinafter referred to as the "Company") and its users (hereinafter "Members") concerning the use of the mobile and web service, JuanCast (hereinafter "Service"), developed and provided by the "Company."

[Article 2] Definition

The following terms are defined as used in these Terms and Conditions:

[Article 3] Announcement of Terms and Conditions

These Terms and Conditions become effective when notified to "Members" on the webpage of the "Service" or via other means.

The "Company" may revise the Terms and Conditions, provided such changes comply with relevant laws, including the Civil Code of the Philippines, Electronic Commerce Act, and Data Privacy Act.

Revisions that significantly affect the rights and obligations of "Members" will be announced 30 days prior to their effective date. "Members" may reject the revised Terms and Conditions and request to delete their account within 15 days of the announcement. Failure to do so will be considered acceptance of the changes.

[Article 4] Interpretation of Terms and Conditions

Matters not stipulated in these Terms and Conditions shall be governed by relevant Philippine laws, such as the Civil Code of the Philippines and Electronic Commerce Act.

[Article 5] Conclusion of Contract of Use

The service contract is concluded when the "Company" approves an individual’s request to use the service (sign-up request) after consenting to these Terms and Conditions and the Privacy Policy.

By clicking the "I consent" button at the time of sign-up, individuals are deemed to have agreed to these Terms and Conditions and the Privacy Policy.

The "Company" may refuse or terminate the service contract under certain conditions, such as failure to provide required information or violation of laws.

"Members" shall use "paid services" after paying the applicable fees. The contract for "Paid Service" is concluded when "Purchase Complete" is indicated in the request process.

The "Company" may withhold approval for reasons such as technical or operational problems, and must inform the applicant of such outcomes.

[Article 6] Obligation to Protect Personal Information

The "Company" will protect the personal information of "Members" in accordance with the Data Privacy Act. The Privacy Policy governs the protection and use of personal information.

The "Company" shall not disclose or provide personal information to third parties without consent, except as required by law.

"Members" agree that their personal information may be used in future "Service" offerings of the "Company."

[Article 7] Obligation to Manage Member ID

The "Company" may restrict certain IDs to protect personal information or prevent confusion with "Company" administrators.

"Members" shall not share their IDs with third parties.

The "Company" is not liable for damages resulting from "Members'" negligence in managing their ID or unauthorized use by third parties.

[Article 8] Notice to Members

The "Company" will notify "Members" through their registered email address or by posting on the "Service" notice board.

Notices affecting all "Members" may be posted on the service's notice section for at least 7 days.

[Article 9] Obligations of the Company

The "Company" shall provide consistent and stable "Service" and will not engage in prohibited acts.

A security system will be maintained to protect "Members'" personal information, in compliance with the Data Privacy Act.

The "Company" will address and notify "Members" of any complaints or issues related to service use.

Key service information, including fees and terms, will be displayed on the first page of the "Service."

[Article 10] Obligations of Members

"Members" shall not engage in illegal acts or activities that infringe on the rights of others, violate public order, or damage the reputation of the "Company."

Violations may result in service restrictions or account termination, with potential legal action taken.

"Members" cannot transfer, donate, lend, or provide their service rights or status without prior consent from the "Company."

[Article 11] Provision of Service

The "Service" is provided 24/7, except during scheduled maintenance or technical issues.

The "Company" may temporarily suspend the "Service" for operational reasons, with prior notice given to "Members."

[Article 12] Change in Service

The "Company" may change all or part of the "Service" for operational reasons, with at least 7 days' notice to "Members."

No compensation will be provided for changes, unless required by law.

[Article 13] Provision of Information and Advertisements

The "Company" may display advertisements and provide information to "Members" during their use of the "Service."

The "Company" is not liable for any loss or damage caused by interactions between "Members" and advertisers.

[Article 14] Responsibility for Members’ Posts

The "Company" may remove or restrict posts that violate laws, public order, or the rights of others.

Detailed guidelines for posting may be established by the "Company," and "Members" must comply with them.

[Article 15] Management of Posts

The "Company" may delete or restrict posts that violate laws or the rights of others.

The "Company" may take action even without a request from a third party if it deems necessary.

[Article 16] Deletion of Account

"Members" may request account deletion at any time through the "Service" interface.

Upon account deletion, all data and points held by the "Member" will be permanently removed.

[Article 17] Liability and Compensation

The "Company" is not liable for damages caused by "Members'" failure to comply with these Terms and Conditions.

The "Company" will not be liable for damages resulting from force majeure or system failures beyond its control.

[Article 18] Governing Law and Jurisdiction

These Terms and Conditions shall be governed by Philippine law.

Disputes arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of Philippine courts.

[Article 19] Miscellaneous

In case any provision of these Terms and Conditions is found to be invalid, the remaining provisions shall continue in full force and effect.
